This course covers the unique aspects of sale and purchase transactions of companies owning greenfield renewable energy projects, including payment milestones, price adjustments, and the fulfilment of administrative and construction phases.

By the end of this course, you should be able to:

1. Understand the particularities of sale and purchase transactions involving greenfield renewable energy projects, including payment milestones and price adjustments based on the fulfilment of administrative and construction phases
2. Learn about the different stages of project development, including early stage, mid stage, and Ready-to-Build (RtB) status, and how these impact the sale and purchase process
3. Understand the importance of guarantees provided by sellers and buyers, particularly in relation to payment of the purchase price and termination of the SPA
4. Learn about the different factors that influence the price of SPAs, including net debt, installed capacity, energy production, and development and construction costs
